ARTICLE I
-
NAME
The name of
this non-profit organization shall be THE NEWARK SENIOR CENTER COMPUTER
CLUB
(SENIOR SURFERS).
ARTICLE II -
OBJECTIVE
The objective of
the Computer Club shall be:

To encourage
computer use by seniors by providing training, instruction, demonstrations,
seminars, and meeting programs using facilities and meeting rooms provided
by the Newark Senior Center at 200 White Chapel Drive, Newark, Delaware
19713.

To assist and further the
Newark Senior Center in their computer activities.

ARTICLE III -
MEMBERSHIP
AND DUES
Section 1:
Each Newark
Senior Center member is eligible to be a member of the club for the duration
of his/her membership term.
Section 2:
To remain a member with full privileges and voting rights, annual club dues
must be paid to the club Treasurer prior to or at the first meeting attended
during the membership year which begins July 1. Each new member must fill
out an application form and submit it to the Membership Chairperson.
Section 3:
In addition to the privilege of attending all meetings, classes, and other
events sponsored by the club, each paid up member is entitled to one vote in
the election of each club officer and one vote on each issue decided at club
meetings.
Section 4:
Dues amount – The amount of dues shall be set by the Board of Directors.

ARTICLE IV -
VOTING at a meeting of the members
Attendance by
thirty [30] paid up club members or 20% of all paid up club members, which ever is less,
is required in order to decide matters by vote at a meeting. Except in the
case of bylaw amendments, a simple majority will carry any motion placed
before any such meeting. The club President or designee presiding at the
meeting shall vote only in the event of a tie vote. There shall be no
absentee voting or voting by proxy.

ARTICLE V -
OFFICERS AND THEIR DUTIES
Section 1 -
PRESIDENT (one-year elective term): The President shall conduct all meetings of the
club, set the meeting agendas, and determine the result of all votes. He/she
shall appoint all committees and serve on all such committees. As Chief
Officer of the club, he/she shall carry out all directives adopted by vote
of the Board of Directors.
Section 2 - VICE
PRESIDENT
(one-year elective term): The Vice President shall assist the President. When
and if the President is not present or available, the Vice President shall conduct
meetings and assume all presidential duties.
Section 3 -
SECRETARY
(one-year elective term): The Secretary shall record the minutes of the
Board meetings and other official meetings and shall
distribute these minutes when and as requested by the President. The
Secretary is responsible for all correspondence pertaining to club
activities.
Section 4
-TREASURER
(one-year elective term): The Treasurer shall maintain financial records of
the club and give regular reports to the President and the membership.
He/she shall maintain all club assets and keep an accurate account of club
monies received and disbursed.
Section 5 -
BOARD OF DIRECTORS: the Board of Directors shall consist of the
President, Vice President, Secretary, Treasurer, six (6)
Directors-At-Large, (staggered three-year terms so that two terms expire
each June 30), and a Newark Senior Center Liaison Agent. The Liaison Agent
shall be appointed by mutual agreement of the Newark
Senior Center and the remaining Board Members. If the President chooses not
to serve as Chairperson, the Board of Directors shall elect its own
Chairperson from among the remaining Board members.
The Board
may make recommendations to the membership regarding all matters requiring
collective membership action. All Board decisions, recommendations, and
directives shall be adopted by majority vote, including the vote of the
Chairperson. A six-member quorum is required in order to vote at a Board
meeting.
Section
6 - VACANCY OF PRESIDENT AND VICE-PRESIDENT: In the event of a vacancy
of President and Vice- President, due to resignations or availability to
perform the position, the President and/or the Board may designate one of
the remaining Officers as the Interim President until availability or until
the next elections.

ARTICLE VI -
ELECTION OF OFFICERS:
Section 1
- The President shall appoint a three-member committee in January to select
a slate of nominees for President, Vice President, Secretary, Treasurer and
two Directors-At-Large. Officers may be re-elected without limit as to number
of terms served. Eligible nominees are club members who agree to serve the
position for which nominated.
Section 2
- The nominating committee shall present its slate at a May club meeting. At
that meeting, nominations from the floor shall be called for and accepted
provided each person nominated has previously agreed to serve in the
designated position, if elected.
At that point
nominations are closed.
Section 3
- The election of officers shall take place at a scheduled June meeting. If
any elected officer other than the President resigns, dies, or fails to
attend more than three consecutive meetings,
remaining Officers and Board of Director
members may vote to replace him/her with a Board member or eligible (paid
up) club member until
the next election of officers by the club membership.

ARTICLE VII -
STANDING COMMITTEES AND CHAIRPERSONS
Section

Committee
Section 2 -
Chairpersons shall be selected from club
membership volunteers and approved by the Board of Directors. Each will
serve until their resignation or replacement.
Section 3 -
The standing committee chairs shall
present timely reports, as required, at Board Meetings.

ARTICLE VIII -
FISCAL MATTERS
Section 1
- There shall be no refunding of membership dues. All monies paid to the
club by the members or from any other source becomes the property of the
club. Funds shall not be returned to the members but may be credited to the
following year’s expense or used by the club in any manner authorized by the
Board of Directors or the club membership.
Section 2
- All monies received by the Treasurer shall be deposited to a bank checking
account maintained for the benefit and convenience of the club. The
signatures of two club officers shall be required on each check drawn on
this account.
Section 3
- The Board of Directors shall set the annual club dues and authorize all
individual club expenditures less than $300.00. The Board of Directors shall
recommend expenditures of $300.00 or more to the club membership for their
consideration and authorization prior to commitment for payment.

ARTICLE IX -
PARLIAMENTARY PROCEDURE
The latest edition
of
Robert’s Rules of Order shall govern the conduct of all club meetings.

ARTICLE X -
AMENDMENTS
These bylaws may be amended
by
Board approval and a two-thirds
majority vote of club members attending a scheduled club meeting. A notice
of the proposed amendment shall be publicized to all club members and posted
on the Newark Senior Center bulletin board at least seven days prior to the
meeting in which the amendment vote is to be taken.

ARTICLE XI -
MISCELLANEOUS PROVISIONS
Upon
dissolution of the Newark Senior Computer Club, assets - all
financial, equipment, and supplies remaining after payment of debts -
shall be distributed to the Newark Senior Center and directed by the Newark
Senior Center Computer Club Board of Directors.
